Content License Agreement

This Content License Agreement is entered into between:
Picmondi Ltd, registered under number 141644353, with its registered office located in Rwanda (Kigali – Kicukiro, KK 252 ST), hereinafter referred to as « the Licensor »,
AND
The Purchaser, designated by the name, email address, or user account used to make the purchase, hereinafter referred to as « the Licensee ».
1. Purpose of the Agreement
The Licensor owns the intellectual property rights to the images (hereinafter referred to as « the Images ») available on its website [www.picmondi.com]. The future Licensee wishes to acquire a license to use these Images in accordance with the terms and conditions set forth in this Agreement.
2. Grant of License
Subject to full payment and compliance with the terms of this Agreement, the Licensor may hereby grant the future Licensee two types of licenses to use the purchased Images.
3. License Types
Each Image is offered with a specific license, the details of which are clearly indicated on the product page. License types are :
Standard License: On picmondi, the price of this license is between 1 and 25 USD. This license allows use of the image for personal purposes. The Licensee may use the image on their personal social media, personal blog, for school projects, etc. Commercial use of the image is strictly prohibited.
Commercial License: On picmondi, this license costs more than 25 USD. This license allows commercial use of the Image for a limited number of reproductions and prints of up to 500,000. The Licensee may use the Image to promote their business, on their commercial website, in advertisements, or on products for sale.
4. Use Restrictions
The Licensee agrees not to:
a. Sublicense, resell, rent, lease, loan, assign, or distribute the Images to third parties.
b. Use the Images in a manner that is defamatory, unlawful, obscene, or may damage the reputation of any person or entity.
c. Claim intellectual property rights in the Images, or misrepresent their meaning, including by modifying or altering the content of the Image in a manner that is inappropriate.
d. Use the Images in a misleading manner or to impersonate the original author.
5. Intellectual Property Rights
The Licensee acknowledges that all intellectual property rights, including copyrights, trademarks, and moral rights, in the Images remain the exclusive property of the Licensor. This Agreement does not grant the Licensee any ownership rights in the Images.
6. Termination
The Licensor reserves the right to terminate this Agreement if the Licensee breaches any of its provisions. Upon termination, the Licensee must immediately cease all use of the Images and delete them from all media.
7. Limitation of Liability
Under no circumstances shall the Licensor be liable for any indirect, incidental, or special damages arising from the use of the Images. The Licensor’s total liability for any claim shall not exceed the amount paid by the Licensee for the relevant Image.
8. Applicable Law and Jurisdiction
Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Kigali, Rwanda.
By purchasing and downloading one or more Images, the Licensee agrees to be bound by the terms and conditions of this Agreement.
